Terms and Conditions

These Terms are a template prepared for launch. Have them reviewed by a lawyer licensed in your jurisdiction before relying on them.

1. Who we are

Grawl (“Grawl”, “we”, “us”, “our”) is operated by [OPERATOR LEGAL NAME], an individual based in [CITY, STATE], India. The website at https://grawl.net (the “Site”) and the hosted application at https://app.grawl.net (the “Service”) are provided under these Terms.

These Terms govern the hosted Service only. The open-source software that Grawl is built on is made available separately under the MIT License and is not covered by these Terms.

2. Acceptance

By creating an account or using the Service you agree to these Terms and to our Privacy Policy and Refund Policy. You must be at least 18 years old. If you use the Service on behalf of a company, you confirm that you have authority to bind that company.

3. Accounts and workspaces

You are responsible for keeping your login credentials secure and for all activity under your account. Each account belongs to one workspace (“organization”). The workspace owner may invite team members and is responsible for their use of the Service.

4. Plans, credits and payment

4.1 Merchant of record. Payments are processed by Paddle.com Market Limited or Paddle.com Inc. (“Paddle”), our merchant of record. When you buy a plan or credits, you are purchasing from Paddle, who then licenses the Service to you. Paddle’s Checkout Buyer Terms apply to the payment transaction. Paddle collects and remits any applicable sales tax or VAT.

4.2 Plans. The Free Plan includes a small one-time allowance of usage credits. The Base Plan is billed monthly in advance at the price shown on the pricing page and includes a monthly allowance of usage credits that resets each billing cycle. Unused monthly credits do not carry over.

4.3 Credits. Data and AI features consume usage credits at the rates described in the app and on the pricing page. Rates depend on our data providers and may change; the app shows an estimate before paid actions run. Top-up credits can be bought on the Base Plan, do not expire while your account is active, and are used after monthly credits. Credits have no cash value and are non-transferable.

4.4 Renewal and cancellation. Subscriptions renew automatically until cancelled. You can cancel at any time from the Billing page; the Service stays available until the end of the paid period.

4.5 Refunds. See the Refund Policy.

4.6 Price changes. We may change prices with at least 30 days’ notice by email or in-app notice. Changes apply from your next renewal.

5. Acceptable use

You agree not to: (a) use the Service to crawl, scrape or audit websites you are not permitted to access; (b) resell or share access to the Service, API or MCP server without our written consent; (c) attempt to circumvent credit metering, rate limits or security controls; (d) use the Service to send spam, build link schemes that violate search-engine guidelines, or infringe third-party rights; (e) reverse engineer the hosted Service; or (f) use the Service in violation of applicable law.

We may suspend or terminate accounts that violate this section.

6. Third-party data and services

The Service relies on third-party providers, including DataForSEO (SEO and search data), AI model providers accessed through OpenRouter, Google (Search Console and Analytics data you connect), Cloudflare (hosting) and Paddle (payments). Data from these providers is provided “as is”; we do not guarantee its accuracy, completeness or freshness. Your use of Google data through the Service is subject to Google’s terms, and we only access Google data with the read-only permissions you grant.

7. Your content and data

You retain ownership of the data you upload, connect or generate (projects, keywords, content drafts). You grant us a licence to process that data solely to provide the Service. You may export or delete your data at any time, and you can request account erasure by emailing support@grawl.net.

AI-generated content is produced by third-party models and may be inaccurate. You are responsible for reviewing it before publishing.

8. Intellectual property

The Service, its design, and the Grawl name and logo are our property. The underlying open-source code remains under its MIT License and its original copyright holders.

9. Availability and changes

We aim for high availability but the Service is provided without an uptime guarantee. We may modify or discontinue features. Where a change materially reduces what you have paid for, you may cancel and request a pro-rated refund for the unused part of the current period.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL IMPROVE YOUR SEARCH RANKINGS OR AI VISIBILITY.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL. Some jurisdictions do not allow these limitations; in that case they apply to the maximum extent permitted.

12. Indemnity

You will indemnify us against claims arising from your content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Termination

You may close your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or where required by law. On termination your right to use the Service ends; sections 7, 8, 10–15 survive.

14. Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, you agree to contact us at support@grawl.net and attempt to resolve the dispute informally for 30 days. Subject to any mandatory consumer-protection rules in your country of residence, the courts of [CITY], India have exclusive jurisdiction.

15. General

These Terms are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. We may update these Terms; material changes will be announced by email or in-app at least 14 days before they take effect. Continued use after that date means you accept the updated Terms.
